1. Acceptance of Terms

By accessing and using Commons ("the Platform", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and related services.

If you are using Commons on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.

2. Description of Service

Commons is an online platform that enables users to discover, create, promote, and manage events. Our services include but are not limited to:

  • Event creation and management tools
  • Event discovery and search functionality
  • Ticketing and registration services
  • Payment processing for paid events
  • Communication tools for organizers and attendees
  • Social features including profiles, messaging, and media sharing

We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice.

3. User Accounts

To access certain features of Commons, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may not transfer your account to another party or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Conduct and Content

You are responsible for all content you post, upload, or share on Commons. You agree not to:

  • Post false, misleading, or fraudulent content
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Harass, threaten, or harm other users
  • Post spam, malware, or malicious code
  • Impersonate any person or entity
  • Interfere with the proper functioning of the Platform

5. Events and Transactions

For Event Organizers: You are responsible for all aspects of your events including accuracy of information, venue arrangements, permits, insurance, and attendee safety. You agree to comply with all applicable laws and regulations.

For Attendees: You acknowledge that Commons is a platform connecting organizers and attendees, and we are not responsible for the quality, safety, legality, or occurrence of events. You attend events at your own risk.

Payments and Refunds: All payments are processed securely through our payment partners. Refund policies are set by event organizers. Commons may charge service fees for ticketing services.

6. Intellectual Property

The Platform and its original content (excluding user-generated content), features, and functionality are owned by Commons and are protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to content you post on Commons. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using Commons, you agree to our data practices as described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Commons and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time through your account settings. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property infringement.
